These Terms and Conditions (“Terms”) govern all sales, quotations, and use of products and services provided by KryptoQuiet (“KryptoQuiet,” “we,” “our,” or “us”). By requesting a quote, placing an order, or purchasing any KryptoQuiet product, you (“Customer”) agree to be bound by these Terms.
All orders are subject to written quotation and acceptance by KryptoQuiet. Quotes are valid for a limited time as stated and are subject to change without notice. Orders are not binding until confirmed in writing by KryptoQuiet.
Prices are provided by written quote and do not include taxes, duties, customs fees, or shipping unless explicitly stated. Customer is responsible for all applicable taxes and fees.
Payment terms are specified in the written quote or invoice. KryptoQuiet reserves the right to require payment in advance. Orders may be delayed or cancelled for non-payment.
Shipping dates are estimates only and are not guaranteed. KryptoQuiet is not responsible for delays caused by carriers, weather, supply chain disruptions, or events beyond our control. Risk of loss transfers to Customer upon shipment.
Customer must inspect all products immediately upon receipt. Any claims for shortages, damage, or errors must be reported in writing within 5 business days of delivery. Failure to notify within this period constitutes acceptance.
Returns require prior written authorization from KryptoQuiet. Authorized returns may be subject to a restocking fee of up to 20% and must be unused, uninstalled, and in original condition. Custom, cut-to-length, or special-order products are non-returnable.
KryptoQuiet products must be installed by qualified marine professionals and used only for their intended marine applications. Proper shaft alignment, installation, and maintenance are the responsibility of the Customer.
KryptoQuiet warrants that its products will be free from defects in material and workmanship at the time of shipment. This warranty does not cover damage resulting from improper installation, misalignment, misuse, modification, corrosion, impact, or normal wear.
To the maximum extent permitted by law, this limited warranty is exclusive and in lieu of all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
In no event shall KryptoQuiet be liable for indirect, incidental, consequential, or special damages, including loss of use, loss of profits, downtime, or vessel damage. KryptoQuiet’s total liability shall not exceed the purchase price of the product giving rise to the claim.
Any technical advice or assistance provided by KryptoQuiet is offered as guidance only and does not relieve the Customer of responsibility for proper application, installation, or verification of suitability.
All trademarks, product names, designs, specifications, and technical materials are the property of KryptoQuiet and may not be copied, reproduced, or used without written permission.
KryptoQuiet shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, labor disputes, supply shortages, transportation delays, or governmental actions.
These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.
These Terms, together with the applicable quote or invoice, constitute the entire agreement between KryptoQuiet and Customer and supersede all prior discussions or representations.
KryptoQuiet reserves the right to update or modify these Terms at any time. The most current version will be posted on our website and will apply to all future transactions.
